Terms of Service (Buyers and Sellers)

Legal Entity: Web Impact LLC, d/b/a DOMINEXT (“we,” “us,” “our,” or “DOMINEXT”)
Governing Law: State of Wyoming, United States
Scope: These Terms of Service (“Terms”) govern your access to and use of the DOMINEXT platform (the “Platform”), including all related websites, services, and tools, whether as a buyer, seller, or visitor.
1.1 Role of DOMINEXT
DOMINEXT primarily operates as a digital intermediary facilitating connections between buyers and independent third-party sellers. We do not own, produce, manufacture, warehouse, ship, or endorse any products listed on the Platform. All product transactions, including sales, shipping, and returns, are solely between buyers and sellers. DOMINEXT provides technology services, including listing tools, payment processing, and communication facilitation.
In addition to these intermediary services, DOMINEXT may offer optional marketing services, advertising space, and promotional opportunities to sellers, event organizers, artists, and other third parties. These supplemental services do not alter the fundamental relationship between buyers and sellers with respect to product transactions, for which DOMINEXT is not a party.
1.2 Acceptance of Terms
By accessing or using the Platform, you agree to be legally bound by these Terms, our Privacy Policy, Cookie Policy, Content and Community Guidelines, and any additional policies referenced herein (collectively, the “Agreement”). If you do not agree, you must not access or use the Platform. Continued use after updates to the Terms constitutes acceptance of those changes.
1.3 Eligibility
- You must be at least 18 years old to use the Platform. By registering or completing a transaction, you self-certify that you meet this age requirement.
- DOMINEXT reserves the right to request age verification documentation and may terminate accounts if misrepresentation is suspected.
- Use of the Platform is void where prohibited by applicable law.
- DOMINEXT reserves the right, at its sole discretion, to suspend, restrict, or terminate any user account at any time, with or without prior notice, and for any reason including, but not limited to, suspected violations of these Terms, business needs, platform integrity concerns, or other circumstances DOMINEXT deems appropriate.
1.4 Account Registration
- General Requirements: Users must provide accurate, complete, and current information during registration or checkout. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- Seller KYC Verification: Sellers must complete a Know Your Customer (KYC) verification process through a third-party provider to list products. Failure to comply may result in account suspension.
- Guest Checkout: Buyers may complete purchases as guests but must provide necessary transaction information and confirm age eligibility.
1.5 Use of the Platform
- Sellers:
- You are solely responsible for ensuring that your products, listings, and shipping practices comply with all applicable laws, including those of the buyer’s jurisdiction.
- Listings must be accurate, truthful, and not misleading.
- You must not list prohibited items, including but not limited to: explicit sexual content, functional weapons or dangerous items, illegal substances, perishable food items, beverages, or other regulated products as further detailed in our Content and Community Guidelines. Items that simulate or replicate prohibited categories but are designed for legal recreational, decorative, or entertainment purposes may be permitted subject to DOMINEXT’s review and approval.
- Buyers:
- You are responsible for reviewing product listings, seller policies, and shipping terms to ensure purchases meet your needs.
- You agree to provide accurate delivery and payment information.
- Prohibited Conduct: Users must not:
- Engage in fraudulent, deceptive, or unlawful activities.
- Attempt to bypass Platform security or payment systems.
- Use the Platform to harass, defame, or harm others.
1.6 Transactions
- Payment Processing: DOMINEXT facilitates payments through third-party providers (e.g., Stripe, PayPal, Segpay, CCBill or others). DOMINEXT does not store payment card details.
- Commission Structure: DOMINEXT applies a progressive commission structure based on each seller’s total revenue per calendar year (January 1 – December 31). The commission rates are as follows:

- Additional Fees: The above commission rates are in addition to any applicable third-party payment processing fees.
- Commission Rate Application: Commission rates will be applied to each transaction based on the seller’s cumulative revenue tier at the time of the transaction. As a seller reaches a new revenue tier during the calendar year, the higher commission rate will apply to subsequent transactions.
- Payment Holds: Payments are held for 30 days to allow for refund requests before disbursement to sellers.
- No Guarantee: DOMINEXT does not guarantee the completion, quality, or delivery of any transaction.
1.7 Refunds and Returns
- Refund Requests: Buyers may request refunds within 30 days of purchase, subject to seller approval.
- Process: DOMINEXT initiates refunds only after seller confirmation. If a seller denies a refund, buyers must resolve disputes directly with the seller.
- Post-Disbursement: After 30 days, funds are disbursed to sellers, and refunds are at the seller’s discretion.
- Return Shipping: Buyers are responsible for return shipping costs unless otherwise agreed with the seller.
1.8 User Content
- Ownership: Users retain ownership of content they submit (e.g., reviews, listings, images) but grant DOMINEXT a worldwide, non-exclusive, royalty-free license to use, display, reproduce, modify, adapt, and distribute such content for Platform operations and marketing purposes.
- Marketing Usage: The license granted to DOMINEXT includes, but is not limited to, the right to:
- Feature user content in promotional materials across all media channels, including social media platforms
- Display product images and listings in advertisements and promotional campaigns
- Use submitted content in email marketing, website features, and other promotional activities
- Have promotional models wear or demonstrate products in marketing materials
- Create derivative works based on user content for marketing purposes
- Content Standards: User content must not include explicit imagery, hate speech, discriminatory language, or unlawful material. Reviews must reflect genuine experiences.
- Moderation: DOMINEXT reserves the right to review, approve, or remove user content at its discretion.
1.9 Intellectual Property
- All Platform content, including trademarks, logos, software, and DOMINEXT-created media, is owned by DOMINEXT or its licensors and protected by intellectual property laws.
- DOMINEXT-Created Content: All photographs, videos, promotional materials, and other media created by or commissioned by DOMINEXT featuring seller products remain the exclusive intellectual property of DOMINEXT, regardless of which products are featured. This includes, but is not limited to, photoshoots, model sessions, advertisements, promotional videos, and social media content.
- Usage Rights: While sellers maintain ownership of their products and product listings, they grant DOMINEXT permission to create derivative works featuring their products. Sellers may not claim ownership of or exclusive usage rights to any DOMINEXT-created content featuring their products.
- Sellers warrant that their listings do not infringe third-party intellectual property rights.
- Users may report suspected infringements to support@dominext.co.
1.10 Affiliate Program
- DOMINEXT may offer an affiliate program allowing users to earn commissions by referring new buyers or sellers.
- Affiliates must comply with applicable laws, including FTC disclosure requirements.
- Detailed terms will be provided in a separate Affiliate Agreement.
1.11 Limitation of Liability
- Disclaimer: The Platform and all products are provided “as-is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- No Liability for Transactions: DOMINEXT is not liable for product quality, delivery failures, seller or buyer conduct, or disputes arising from transactions.
- Product Usage Disclaimer: DOMINEXT expressly disclaims all liability for any injuries, damages, or losses resulting from improper use, misuse, or any use not in accordance with product instructions or intended purposes. Users are solely responsible for the proper and safe use of any products purchased through the Platform.
- No Liability for Emotional or Psychological Impact: DOMINEXT shall not be liable for any emotional distress, psychological impact, disappointment, regret, or similar non-physical damages arising from or related to any transaction, product, content, or interaction on the Platform.
- Damage Cap: To the fullest extent permitted by law, DOMINEXT’s aggregate liability shall not exceed the amount of fees paid to DOMINEXT in the preceding 12 months. DOMINEXT shall not be liable for indirect, incidental, consequential, punitive, or special damages.
1.12 Dispute Resolution
- Arbitration: Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in Wyoming.
- Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions, class arbitrations, or representative actions.
- Direct Resolution: Buyers and sellers must resolve transaction disputes directly. DOMINEXT is not a party to such disputes.
- Governing Law: These Terms are governed by Wyoming law, without regard to conflict of law principles.
1.13 Indemnification
You agree to indemnify and hold harmless DOMINEXT, its affiliates, officers, and agents from any claims, liabilities, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.
1.14 Termination
- DOMINEXT may suspend or terminate your access to the Platform at its sole discretion, including, but not limited to, violations of these Terms or suspected unlawful activity.
- Upon termination, your right to use the Platform ceases, but obligations regarding transactions or disputes remain.
1.15 Modifications
- DOMINEXT may update these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days in advance.
- Continued use after changes constitutes acceptance.
1.16 Force Majeure
DOMINEXT is not liable for delays or failures in performance due to events beyond its reasonable control, including natural disasters, cyberattacks, or third-party service disruptions.
